Explanatory Cyprus Company Formation Questionnaire

The purpose of this Cyprus company formation questionnaire is to incorporate a Cyprus company in accordance with the specification you provide below. This form is NOT to be used, other than for this web site explanation. When setting up a company, we will provide the origianl form.

Please note information disclosed concerning the beneficial owner will be kept strictly private and confidential. If anonymity is required, we recommend a nominee shareholder holds the shares on trust for the beneficial owner. If you intend for the Cyprus company to be a tax resident of Cyprus we recommend that the majority of directors are either individual or corporations being Cyprus tax residents.

Unless otherwise instructed a Cyprus company shall be formed/incorporated with a registered share capital of €5.000 divided into 5.000 shares of nominal value €1,00 each.

Unless otherwise instructed the nominee shareholder or any other shareholder you advice to be shown as the holder of the shares shall be issued 1.000 shares of nominal value €1,00 each from the registered but unissued share capital of the Cyprus Company.

Please note that the registered share capital may be denominated in other currencies. Each shareholder must hold at least one share in the Cyprus Company. Stamp duty applies to the amount of the registered share capital at a rate of 0,6%, not including other chargers imposed.

A Cyprus company must have at least one shareholder which may be a corporation, trust, fund, partnership, an individual or any other legal entity. Shareholders' details are registered in the public sector; if anonymity is required, we recommend that a nominee shareholder subscribes to and holds the Cyprus Company's shares.

Please note that a nominee shareholder shall hold the entire issued share capital on trust for the benefit of and upon the instructions of the beneficial owner.

A Cyprus Company must have at least one director must have at least one director which may be a corporation, trust, fund, partnership, an individual or any other legal entity.

Please note that the actions of the board of directors and/or each individual director are subject to numerous obligations imposed by the law. A Cyprus company is considered a Cyprus tax resident if it's management and control is carried out in the Republic of Cyprus. We recommend that a Company aiming at being Cyprus tax residence appoints directors, either corporate or individuals, who are permanently residing in Cyprus.
